On the Law of Ukraine dated January 9, 2025, No. 4196-IX
On February 28, 2025, the Law of Ukraine dated January 9, 2025, No. 4196-IX “On the Specifics of Regulation of Legal Entities of Certain Organizational and Legal Forms During the Transitional Period and Associations of Legal Entities” (Reg. No. 6013 of September 9, 2021) entered into force. This Law defines the legal and organizational foundations for the activities of legal entities of certain organizational and legal forms during the transitional period, as well as associations of legal entities.
The Law will take effect six months after its entry into force, that is, starting from August 28, 2025.
According to the Law, the transitional period is defined as a three-year term beginning on the effective date of the Law.
Pursuant to this Law, the Commercial Code of Ukraine shall be repealed as of August 28, 2025. In addition, amendments are introduced to nearly fifty legislative acts of Ukraine, including the Land Code, the Civil Code, the Commercial Procedural Code, the Bankruptcy Procedure Code, the Law “On Joint Stock Companies,” among others.
The Law was published in the official newspaper Holos Ukrainy (Voice of Ukraine) on February 27, 2025, issue No. 40.
